1. Scope of Services
Spin Animation (“Creator”) provides animation and related production services.
The scope of services is typically outlined in the respective quotation and/or project communication.
The quotation may define deliverables, schedule, licensing terms, and fees. In case of conflict, the quotation takes precedence over these Terms.
2. Production Process & Client Responsibilities
Projects are typically executed in stages (for example: concept, storyboard/animatic, design, animation, final delivery).
Client feedback and approvals are required at each stage.
Delays in feedback may result in corresponding delivery delays.
If the Client commissions the work on behalf of a third party (e.g. an end client), the Client remains fully responsible for:
- consolidating feedback
- communicating approvals
- ensuring that license terms are observed by all involved parties
3. Revisions
Unless otherwise agreed, two (2) rounds of revisions per production stage are included.
Additional revisions or changes ordered after approval of a stage are billed at the Creator’s standard hourly rate.
For projects with tight deadlines or accelerated schedules, the number of included revision rounds and feedback timelines may be reduced or adjusted.
The Client agrees to provide timely and consolidated feedback to avoid delays and additional costs.
4. Changes in Scope
Any changes to the agreed scope or to previously approved work may:
- incur additional costs
- require schedule adjustments
Such changes will be billed based on time and complexity unless otherwise agreed.
5. Fees & Payment Terms
Unless otherwise specified in the quotation:
- Invoices are issued upon completion of the project or delivery of the final files.
- Invoices are issued in the same currency as the quotation, typically in the Client’s local currency unless otherwise agreed.
- Domestic bank transfers are accepted within Switzerland and Canada.
- Payment is due within 30 days of the invoice date.
- For international payments, the Client is responsible for covering all transfer and intermediary bank charges in full. The invoiced amount must be received net of any fees.
- The Creator reserves the right to request partial or full prepayment for large or long-term projects.
Late payments
Late payments incur a fee of 5% per month starting from the invoice due date.
Transfer of rights
All usage rights are granted only after full payment has been received.
6. Usage Rights & Intellectual Property
Ownership
All working files, project files, and production assets remain the property of the Creator unless otherwise agreed in writing.
This includes (but is not limited to):
- preliminary work
- editable animation files
- source compositions
- project structures
License
Upon full payment, the Client receives the usage rights defined in the quotation.
Unless explicitly stated:
- the license applies only to the final delivered work for the originally intended purpose and channels communicated during the project
- edits, adaptations, or extraction of elements are not permitted
- extended usage (e.g. broadcast, paid media campaigns, adaptations, or additional formats) may require an additional license fee
Third-Party Use
If the Client commissions the work for a third party (e.g. an end client), the Client is responsible for ensuring that all license terms are communicated and respected.
The Client indemnifies the Creator against misuse by third parties.
Portfolio Rights
The Creator may display the work, preliminary or final in nature, for self-promotional purposes (including website, social media, and showreels) after the project has been publicly released.
7. Third-Party Materials
The Client is responsible for securing licenses for any materials provided by the Client, including:
- logos
- fonts
- images
- video
- audio
The Creator is responsible only for third-party materials directly sourced by the Creator for the production.
8. Delivery & Scheduling
Delivery timelines depend on timely feedback and approvals.
The Creator is not responsible for delays caused by:
- late feedback
- missing materials
- changes in scope
9. Cancellation
If a project is cancelled or paused:
- Work completed up to that point will be invoiced.
- Costs already incurred (including third-party costs) remain payable.
10. Limitation of Liability
The Creator’s liability is limited to 25% of the total project fee, except in cases of gross negligence or intentional misconduct.
The Creator is not liable for:
- indirect damages
- consequential damages
- loss of profits
- third-party claims arising from materials provided by the Client
11. Governing Law & Jurisdiction
These Terms are governed by the laws applicable at the Creator’s registered place of business.
Unless otherwise agreed in writing, jurisdiction shall be determined accordingly.
